Bingham Greenebaum Doll Attorney Co-Authors Book, ‘Buying a Business: What You Need to Know’

Brown has co-authored the book, “Buying a Business: What You Need to Know (Quick Prep),” published by Aspatore Books, a Thomson Reuters business.  The book provides practical advice for individuals and managers who are considering buying a business.

Brown and co-author Alan S. Gutterman, founder and principal of Gutterman Law & Business, provide buyers with advice on governance and management, accounting, finance and tax issues that must be addressed in any acquisition. Included is a step-by-step analysis of the two stages of acquisitions. Chapters in the first section deal with preliminary issues to be addressed including business plans. They also evaluate the intellectual property and antitrust issues that must be investigated before any acquisition is closed.

The second section of the book provides detailed information on the transaction stage, beginning with negotiations and due diligence. Separate chapters address how to acquire businesses through corporate share, corporate asset, joint venture, proprietorship, partnership and limited liability transactions. The last two chapters in this section deal with the closing and post-closing issues, particularly the cultural issues that can determine the success or failure of an acquisition. Brown is a member of the firm’s Corporate and Transactional Practice Group. He has worked closely with international companies as an investment banker and attorney, serving both in-house and as an outside advisor. He has passed all four parts of the CPA exam. His previous experience includes assignments in London, New York City, Tokyo, San Francisco and San Diego. Brown is admitted as an attorney in New York, Washington, D.C., California and Kentucky, and is qualified as a solicitor in England and Wales and in Hong Kong. From 1991-1993, he was admitted as a foreign lawyer in Japan.
