Overview

Ben is a member of the firm's Corporate Services Department. He believes the most valuable counsel is offered within the context of his client’s particular business objectives. Ben’s practice is focused upon having a close connection with his clients’ business goals and the opportunity to offer reasoned guidance on “prevention” before needing “cure.” And when “cure” is necessary, BGD provides Ben with the ability to leverage a breadth of attorneys across legal disciplines to serve his clients.

Ben practices in the areas of franchising, supply and distribution, mergers and acquisitions, intellectual property, advertising and promotions providing general business transactions and securities. His practice includes representing clients in a wide variety of industries including, but not limited to, restaurants, manufacturing, automobile dealerships and retail. Ben’s clients turn to him for not only specific transactional needs, but also general counsel on corporate matters. He finds the close connection to his clients’ businesses, and the strength and accessibility of the BGD bench, provides a rewarding platform for the practice of law.

Ben received his Bachelors from the University of Kentucky. Before pursuing a law degree, his professional jobs required him to serve as the primary liaison with legal counsel. He quickly developed an appreciation for the advantages of having a larger firm with a breadth of legal talent across several primary disciplines, rather than situational representation by multiple law firms.

In pursing his law career, Ben attended the University of Louisville’s Brandeis School of Law and graduated cum laude, and has since dedicated his career to providing business-objective, practical solutions for his clients. Ben enjoys sports of all types, including a healthy (but perhaps irrational) focus on both the University of Kentucky AND the University of Louisville athletics (but makes no mistake that UK is, and will always be, the big brother).

Representative Cases and Achievements

  • Served as transaction counsel for mergers and acquisitions of manufacturing, distribution and services companies in a variety of industries, including manufacturing, automobile repair, automobile sales, furniture, IT services and consumer goods
  • Provides counsel on the development and registration of franchise documents, area development agreements and the navigation of state franchise relationship laws
  • Advises a national fast-food franchise on advertising and promotion campaigns, which include licensing, supply chain, sweepstakes and contests in connection with professional sports leagues, video games, nationwide charities and more traditional mediums
  • Provided counsel on expanding a retail franchise into non-traditional locales, such as retail supercenters
  • Negotiated supply agreements, manufacturing agreements, distribution agreements, terms and condition of purchase and sale and product storage and shipment
  • Consulted on commercial relationships involving sales representatives, referral, consulting, confidentiality, covenants not to compete and executive employment and compensation agreements
  • Advised on general business practice including corporate formation, shareholders agreements, LLC operating agreements, partnership agreements and buy-sell agreements
  • Provided guidance on business restructuring, organization and financing, including business dissolution, recapitalization, equity financing and creditor financing
  • Represented business clients involved in business litigation, including document retention and production, electronic discovery, deposition and trial testimony preparation
