Bradley C. Arnett is the Managing Partner of the Cincinnati office and Chair of the Banking and Financial Institutions Practice Group. He focuses his practice in the areas of mergers and acquisitions, securities, banking regulation, emerging businesses and commercial finance as a member of the firm's Business Services Department.
Brad regularly represents banks and bank holding companies in the areas of banking regulation, securities compliance and mergers and acquisitions. He also represents other companies, their owners and their investors in stock and asset acquisitions and divestitures, mergers and other reorganizations. He counsels startup and emerging companies in connection with business formation, seed, early-stage and follow-on financing and exit transactions. In addition, Brad frequently advises clients in commercial financing and real estate transactions and also has substantial experience advising public utilities in financing and transactional matters.

Banking and Financial Institutions – M&A
Represented First Merchants Corporation in its acquisition of MBT Financial Corporation, which closed on September 1, 2019. Consideration paid was approximately $228 million.
Represented German American Bancorp, Inc. in its acquisition of Citizens First Bank, which closed on July 1, 2019. Consideration paid was approximately $68 million.
Represented German American Bancorp, Inc. in its acquisition of First Security, Inc., which closed in October 2018. Consideration paid was approximately $101 million.
Represented First Merchants Corporation in its acquisition of Independent Alliance Banks, Inc., which closed in July 2017. Consideration paid was approximately $259 million.
Represented First Merchants Corporation in its acquisition of The Arlington Bank, which closed in May 2017. Consideration paid was approximately $83 million.
Represented German American Bancorp, Inc. in its acquisition of River Valley Bancorp, which closed in March 2016. Consideration paid was approximately $87 million.
Represented German American Bancorp, Inc. in its issuance and sale of $40 million of Fixed-to-Floating Rate Subordinated Notes. The Notes were offered and sold to qualified institutional buyers and institutional accredited investors in a private offering. Also, currently representing German American in connection with an exchange of the Notes for notes registered under the Securities Act. (June 2019/October 2019)
Represented an accredited investor group in its purchase of common stock and warrants through a private placement. The issuer is a Nasdaq-traded shopping network selling to consumers by television, over the internet and through mobile devices. (May 2019)
Represented OrthoPediatrics Corp., a medical device company, in connection with an underwritten public offering of common stock. Net proceeds totaled $43.4 million. (December 2018)
