Overview

Jeremy is a member of the Business Services department, and he focuses his practice in the area of emerging business and financial institutions. Clients turn to him for a range of legal services, especially mergers and acquisitions, securities law compliance, business organization and general business and corporate transactions. 

Jeremy's work in the corporate space has been recognized across multiple third-parties. Most recently, he was named a Best Lawyers in America (R) "Lawyer of the Year" in the Indianapolis Financial Services Regulation Law space. He has also been named an Indiana Super Lawyer  and is a Chambers USA: America's Leading Lawyers for Business in the area of Corporate/M&A. 

Career Highlights

Representative Cases and Achievements

  • Currently serving as lead counsel for First Merchants Corporation in their acquisition of MBT Financial Corporation for an announced consideration of approximately $291 million.
  • Served as lead counsel for First Merchants Corporation in their acquisition of Ameriana Bancorp which closed on December 31, 2015.  Consideration paid was approximately $70 million.
  • Served as lead counsel for German American Bancorp in their acquisition of River Valley Bancorp which closed on March 1, 2016.  Consideration paid was approximately $87 million.

  • Served as lead counsel for The Citizens Exchange Bank in their sale to First Farmers Bank & Trust Co. which closed in April 2016. 

  • Served as lead counsel for First Merchants Corporation in their acquisition of The Arlington Bank which closed on May 19, 2017.  Consideration paid was approximately $82.6 million.

  • Served as lead counsel for First Merchants Corporation in their acquisition of Independent Alliance Banks, Inc. which closed on July 14, 2017.  Consideration paid was approximately $238.9 million.

  • Served as lead counsel for German American Bancorp in their acquisition of multiple branches from MainSource Bank which closed in May 2018.  The premium on deposits to be paid was approximately $8 million.

  • Served as lead counsel for German American Bancorp in their acquisition of First Security, Inc. which closed on October 15, 2018.  Consideration paid was approximately $101 million.

  • Acquisition and sale of financial institutions - $75 - $240 million

  • Sale of steel distributor - $35 million

  • Sale of insurance agency - $18 million

  • Purchase and sale of several franchise restaurant systems - $2 - $35 million

  • Sale of mortgage processing company - $20 million

  • Purchase of construction company - $8 million

  • Sale of two physician group practices to hospital systems - $4 million, $2 million

  • Sale of software company - $2 million
